Welcome to Web3.Market ("we," "us," or "our"), a digital blockchain file marketplace (the "Service") that enables users to buy, sell, transfer, and manage digital files, including non-fungible tokens (NFTs) and other blockchain-secured assets. These Terms of Use ("Terms") govern your access to and use of our website, platform, mobile applications, and any related services. By accessing or using the Service, you agree to be bound by these Terms and our Privacy Policy. If you do not agree, please do not use the Service.

We may update these Terms from time to time. We will notify you of material changes by posting the updated version on our website and updating the effective date above. Your continued use of the Service after such changes constitutes your acceptance of the revised Terms.

1. Eligibility

You must be at least 18 years old (or the age of majority in your jurisdiction) to use the Service. By using the Service, you represent and warrant that you meet this requirement and have the legal capacity to enter into these Terms. If you are using the Service on behalf of an entity, you represent that you are authorized to bind that entity to these Terms.

2. User Accounts and Wallets

To access certain features, you must create an account and connect a compatible cryptocurrency wallet (e.g., MetaMask or similar). You are responsible for maintaining the security of your account credentials, wallet, and private keys. We do not store or have access to your private keys and cannot recover lost funds or assets. You agree to provide accurate information during registration and to update it as necessary. We reserve the right to suspend or terminate accounts that violate these Terms or for any other reason at our discretion.

3. User Content and Conduct

You may upload, list, or share digital files, metadata, descriptions, and other content ("User Content") on the Service. By submitting User Content, you grant us a worldwide, non-exclusive, royalty-free, sublicensable license to use, reproduce, distribute, modify, and display it as necessary to operate the Service, including for promotional purposes.

You represent and warrant that: (i) you own or have the necessary rights to your User Content; (ii) it does not infringe on third-party intellectual property, privacy, or other rights; and (iii) it complies with all applicable laws. You are solely responsible for your User Content and any consequences arising from it.

You agree not to: (i) upload harmful, illegal, or objectionable content; (ii) engage in harassment, spam, or fraudulent activities; (iii) interfere with the Service or other users; (iv) attempt to circumvent security measures; or (v) use the Service for unauthorized commercial purposes. We may remove or refuse User Content that violates these Terms without notice.

4. Marketplace Transactions

The Service facilitates peer-to-peer transactions using blockchain technology. When you buy, sell, or transfer digital files, you interact directly with smart contracts on the blockchain. Transactions are irreversible and may incur gas fees, network costs, or royalties, which are your responsibility.

We do not custody assets or funds—all transactions occur on decentralized networks. We are not a party to any transaction and provide no guarantees regarding the quality, authenticity, or delivery of digital files. Buyers should conduct due diligence before purchasing. Sellers must ensure accurate listings and comply with any applicable taxes or regulations.

Refunds or cancellations are not supported due to blockchain immutability, except as explicitly stated in a listing or required by law.

5. Blockchain Specifics

The Service relies on blockchain networks, which are subject to risks such as network congestion, forks, hacks, or regulatory changes. We do not control these networks and make no representations about their reliability or security. You acknowledge that blockchain data is public and immutable, and your wallet address and transaction history may be visible to others.

6. Intellectual Property

We own all rights to the Service, including its software, design, trademarks, and content (excluding User Content). You are granted a limited, non-transferable license to use the Service for personal or commercial purposes as permitted herein. You may not copy, modify, reverse-engineer, or distribute any part of the Service without our written consent.

If you believe your intellectual property has been infringed, please contact us with details for review under applicable laws (e.g., DMCA for U.S. users).

7. Prohibited Activities

In addition to other restrictions, you agree not to: (i) use the Service for illegal purposes, including money laundering or sanctions evasion; (ii) upload content involving child exploitation, violence, or hate speech; (iii) engage in market manipulation or wash trading; (iv) use automated tools to scrape data without permission; or (v) violate export controls or international laws. We cooperate with authorities to enforce these prohibitions.

8. Disclaimers and Limitations of Liability

The Service is provided "as is" and "as available" without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, or non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or secure.

To the fullest extent permitted by law, we shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Service, including loss of profits, data, or digital assets. Our total liability shall not exceed the fees paid by you to us in the preceding 12 months, or $100 if no fees were paid.

You acknowledge the risks inherent in blockchain technology, including volatility, hacks, and loss of access, and agree to use the Service at your own risk.

9. Indemnification

You agree to indemnify, defend, and hold harmless Web3.Market, its affiliates, officers, directors, employees, and agents from any claims, losses, liabilities, damages, costs, or expenses (including attorneys' fees) arising from: (i) your use of the Service; (ii) your User Content; (iii) your violation of these Terms; or (iv) your infringement of third-party rights.

10. Termination

We may suspend or terminate your access to the Service at any time, with or without cause, including for violations of these Terms. Upon termination, your account and licenses will end, but provisions such as disclaimers, limitations of liability, and indemnification will survive.

11. Governing Law and Dispute Resolution

These Terms are governed by applicable laws, without regard to conflict of laws principles. Any disputes arising from these Terms or the Service shall be resolved exclusively through binding arbitration under established rules, except for small claims or injunctive relief. You waive any right to class actions or jury trials.

12. Miscellaneous

These Terms constitute the entire agreement between you and us, superseding any prior agreements. If any provision is held invalid, the remainder shall remain in effect. Our failure to enforce any right does not waive it. You may not assign these Terms without our consent; we may assign them freely.
