Web3.Market — License Terms

Web3.Market ("we," "us," or "our") operates a digital blockchain file marketplace (the "Service") that enables users to buy, sell, transfer, and manage digital files, including non-fungible tokens (NFTs) and other blockchain-secured assets. These License Terms ("License Terms") outline the licenses granted to you for using the Service, accessing its software and content, and handling User Content or digital assets transacted on the platform. These License Terms are incorporated into and form part of our Terms of Use and Privacy Policy.

By accessing or using the Service, you agree to be bound by these License Terms. If you do not agree, please do not use the Service. We may update these License Terms from time to time. We will notify you of material changes by posting the updated version on our website and updating the effective date above. Your continued use of the Service after such changes constitutes your acceptance of the revised License Terms.

1. Licenses Granted by Web3.Market

Subject to your compliance with these License Terms, the Terms of Use, and any applicable fees, we grant you a limited, non-exclusive, non-transferable, revocable license during the term of your access to the Service to:

Access and use the Service for personal or commercial purposes as permitted, including browsing listings, conducting transactions, and managing your digital assets.
Use our software, applications, and interfaces (e.g., website, mobile apps) solely to interact with the Service and blockchain networks.
View, download, and display content provided by us (e.g., platform graphics, descriptions) for your personal use in connection with the Service.

This license does not include any rights to: (i) sublicense, rent, lease, or commercially exploit the Service beyond marketplace activities; (ii) reverse-engineer, decompile, or disassemble any software; (iii) remove or alter copyright notices or proprietary markings; or (iv) use the Service in violation of laws or these terms.

All rights not expressly granted herein are reserved by us. The Service, including its software, code, algorithms, and underlying technology, is proprietary and protected by intellectual property laws.

2. Licenses Granted by Users

When you upload, list, or transact digital files or User Content on the Service (e.g., digital art, files, NFTs, or metadata), you grant to us and other users the following licenses:

To Us: A worldwide, perpetual, irrevocable, non-exclusive, royalty-free, sublicensable license to use, reproduce, distribute, modify, display, perform, and create derivative works of your User Content as necessary to operate, promote, and improve the Service. This includes hosting on blockchains, generating previews, and facilitating transactions. For blockchain-secured assets, this license extends to minting, transferring, and verifying ownership via smart contracts.
To Buyers and Other Users: When you sell or transfer a digital file or NFT, you grant the buyer a perpetual, non-exclusive, royalty-free license to use, reproduce, modify, display, and distribute the asset for their personal or commercial purposes, subject to any restrictions you specify in the listing (e.g., commercial use limits). For NFTs, the license is typically tied to the token's metadata and smart contract terms, which may include royalties on secondary sales.
Public Display: By listing items, you consent to public visibility of your User Content on the Service and blockchains, including wallet addresses and transaction details.

You represent and warrant that you own all necessary rights to grant these licenses and that your User Content does not infringe third-party rights. You are responsible for any royalties, permissions, or attributions required for your content.

3. Ownership of Digital Assets and NFTs

Ownership of digital files or NFTs transacted on the Service is determined by blockchain records (e.g., token standards like ERC-721 or ERC-1155). Transferring an NFT conveys the associated license rights as defined in its smart contract or metadata, but does not transfer underlying copyrights unless explicitly stated. We do not claim ownership of User Content or digital assets; we only facilitate transactions.

Sellers retain moral rights (e.g., attribution) unless waived. Buyers acquire the licensed rights specified, but we make no warranties about the completeness or enforceability of such licenses.

4. Restrictions on Use

You may not:

Use licensed content or the Service to create competing products or services.
Transfer, sell, or assign licenses without our or the content owner's permission.
Use automated systems (e.g., bots) to access or scrape licensed content beyond reasonable personal use.
Alter digital assets in ways that violate embedded licenses or smart contract rules.
Engage in activities that could dilute our trademarks or misrepresent affiliations.

Violations may result in license revocation, account suspension, or legal action.

5. Open-Source Components

Certain parts of the Service may incorporate open-source software licensed under terms such as MIT, Apache, or GPL. Your use of such components is subject to their respective licenses, which are provided or linked in our documentation. We comply with open-source obligations, but you must do the same if you access or modify source code.

6. Termination of Licenses

Licenses granted herein terminate automatically upon termination of your account or these License Terms. Upon termination, you must cease all use of licensed content and destroy any copies. Blockchain-based licenses (e.g., for NFTs) may persist independently due to immutability.

7. Disclaimers

We provide licenses "as is" without warranties. Digital assets may have defects, and licenses do not guarantee usability, value, or non-infringement. You use all licenses at your own risk, including risks from blockchain forks or smart contract vulnerabilities.

8. Indemnification

You agree to indemnify us against claims arising from your User Content, misuse of licenses, or infringement related to digital assets you upload or transact.
