Job Responsibilities
- Legal Support: Provide primary legal support to the business on a range of legal and regulatory matters. Identify and raise legal issues in contracts and agreements.
- Contracts Preparation & Tracking: Draft, review, and assist with negotiations for various contracts and agreements, including but not limited to commercial contracts, partnerships, licensing, and vendor agreements. Negotiate contract clauses in line with internal playbook guidance. Assist with contract tracking and maintenance of the contract management system.
- Risk Assessment: Assist in identifying legal risks associated with the company's operations, products, and services. Support the development of mitigation strategies and escalate issues to the Senior Legal Counsel as appropriate
- Intellectual Property: Assist in mapping and managing the company’s intellectual property and conduct research on global intellectual property law.
- Corporate Governance: Assist in maintaining corporate records and support corporate governance matters, ensuring compliance with corporate law requirements.
- Dispute Resolution: Support dispute resolution and prevention efforts, including pre-litigation negotiations and assisting with the management of external counsel in mediation, arbitration, or litigation.
- Regulatory Filings: Assist in the preparation and submission of regulatory filings, reports, and disclosures to regulatory authorities as required.
- Policy Development: Support the implementation, maintenance, and review of internal policies and procedures to ensure compliance with legal and regulatory requirements. Assist in maintaining the company's code of conduct and ethical guidelines.
- Legal Research & Compliance: Conduct legal research on specific issues as assigned. Stay up-to-date with applicable laws, regulations, and guidelines related to technology, intellectual property, financial services, and cryptocurrency,
- Documentation: Assist in creating and maintaining legal documentation, standard templates, and playbooks. Contribute to and participate in knowledge-sharing activities.
- Legal Vendor Management: Support the end-to-end process of any legal-related vendor acquisition, including gathering vendor proposals and assisting with cost-benefit analysis.
- Team Player: Work collaboratively with cross-functional teams to support strategic business objectives. Able to answer questions from business stakeholders and provide commercially viable legal solutions.
- Coaching: Able to mentor interns when required. Mentorship includes imparting knowledge and/or technical skills for day-to-day work.
- You are required to support any ad hoc tasks as required by the company.
Job Requirements
- Proven track record: You have 3-5 years of post qualification experience (PQE) with a minimum of 2 years experience as a legal counsel, preferably with some exposure to technology, financial services, or related industries.
- Education: You have a Bachelor’s of Laws degree from an accredited law school and you possess CLP/have been admitted to the Bar in a jurisdiction relevant to the company's operations.
- Domain knowledge: You demonstrate the ability to quickly learn about the technology and cryptocurrency industry, business and departmental operations, and relevant regulations.
- Legal knowledge: You have foundational knowledge across key areas of legal functions (e.g. Contracts, Intellectual Property, Regulatory Affairs, Data Privacy). You also have a good understanding of commercial laws and laws governing digital/SaaS products.
- Commercial awareness: You are self-motivated, resourceful, and have an entrepreneurial mindset with the ability to succeed in a fast-paced and highly agile environment.
- Operational excellence: You are able to frequently spot and prevent errors and have an exceptionally high bar for accuracy and quality for yourself and your peers. You are able to design and implement cross-functional procedures to enhance operational efficiency.
- Ownership: You are self-motivated and can work independently with minimal supervision. You have a strong sense of self-leadership and are curious and creative in finding ways to improve existing projects and workflows, and deliver on tasks within the agreed timeline.
- Problem solving: You demonstrate the ability to figure out solutions to problems with many constraints, using sound judgment to assess risks, and to articulate your argument in a well-structured, written and verbal narrative. You have a passion to solve people's problems while balancing business goals.
