1. Agreement Overview

This Seller Agreement ("Agreement") is entered into between Web3 Market ("Platform", "we", "us", "our") and you ("Seller", "you", "your") regarding your participation as a seller on our marketplace. By submitting a seller application or listing products on our platform, you agree to be bound by all terms and conditions outlined in this Agreement.

2. Seller Eligibility

To become a seller on Web3 Market, you must:

  • Be at least 18 years of age or the age of majority in your jurisdiction
  • Have the legal capacity to enter into binding contracts
  • Provide accurate and complete registration information
  • Own or have the legal right to sell all products you list
  • Comply with all applicable laws and regulations

3. Revenue Share & Platform Fees

3.1 Revenue Split

For each sale completed on the platform:

  • Seller receives: 85% of the product sale price
  • Platform fee: 15% of the product sale price

3.2 Fee Coverage

The 15% platform fee covers:

  • • Infrastructure and hosting costs
  • • Payment processing and blockchain transaction fees
  • • Customer support services
  • • Marketing and promotional activities
  • • Platform maintenance and development
  • • Security and fraud prevention

3.3 Additional Fees

There are no additional fees, commissions, or hidden charges. The 15% platform fee is the only deduction from your sales.

4. Payment Terms & Schedule

4.1 Payout Schedule

  • • Withdrawal requests can be submitted anytime from your seller dashboard
  • • Payouts are processed at the end of each month
  • • Payments are sent directly to your designated wallet address
  • • All payouts are made in USDT (Tether)

4.2 Minimum Payout Threshold

  • • Minimum withdrawal amount: $50 USDT
  • • If earnings are below $50, they carry over to the next month
  • • Accumulated earnings roll over until threshold is met

4.3 Payout Methods

  • • Payments are made via blockchain transactions (on-chain)
  • • Supported blockchains: Ethereum, Polygon, BSC, Solana, Avalanche, Arbitrum, Optimism, Base
  • • You select your preferred blockchain during registration
  • • Blockchain gas fees are covered by the platform

4.4 Payment Accuracy

It is your responsibility to provide a valid wallet address. The platform is not responsible for:

  • • Funds sent to incorrect addresses
  • • Losses due to wallet address errors
  • • Recovery of funds sent to wrong addresses

5. Product Standards & Quality Requirements

5.1 Product Requirements

All products listed must:

  • • Be original work or properly licensed
  • • Be fully functional and tested
  • • Include clear documentation
  • • Be production-ready or clearly marked as beta
  • • Not contain malware, backdoors, or malicious code
  • • Not violate any intellectual property rights

5.2 Prohibited Products

You may not sell:

  • • Stolen or pirated code
  • • Products containing security vulnerabilities
  • • Scam or fraudulent tools
  • • Products that violate laws or regulations
  • • Products designed to harm users or systems

5.3 Product Updates

You are encouraged to provide updates and bug fixes for your products. Major updates may be offered as new products or free updates to existing customers at your discretion.

6. Seller Responsibilities

6.1 Customer Support

  • • Provide reasonable customer support for your products
  • • Respond to customer inquiries within 48 hours
  • • Address legitimate bug reports and issues
  • • Maintain contact information (email, Telegram, Discord, etc.)

6.2 Accurate Listings

  • • Provide accurate product descriptions
  • • Include clear screenshots and documentation
  • • Disclose all features and limitations
  • • Update listings when products change significantly

6.3 Compliance

  • • Comply with all applicable laws and regulations
  • • Ensure products meet quality standards
  • • Respect intellectual property rights
  • • Follow platform policies and guidelines

7. Platform Rights & Product Review

7.1 Product Review

We reserve the right to:

  • • Review all products before they are listed
  • • Reject products that don't meet our standards
  • • Remove products that violate this agreement
  • • Request modifications to product listings

7.2 Account Suspension

We may suspend or terminate your seller account if:

  • • You violate this agreement
  • • You engage in fraudulent activity
  • • You receive excessive customer complaints
  • • You provide poor quality products
  • • You fail to provide adequate support

7.3 Final Sale Rule

All sales are final. Customers cannot request refunds. You are not responsible for refunds, but you should strive to provide quality products and support to maintain your reputation.

8. Intellectual Property Rights

8.1 Ownership

You retain full ownership of your products. By listing products on our platform, you grant us a limited license to:

  • • Display your products on our marketplace
  • • Use product images and descriptions for promotional purposes
  • • Facilitate sales and distribution to customers

8.2 Warranties

You warrant that you have all necessary rights to sell your products and that they do not infringe on any third-party intellectual property rights.

9. Tax Responsibilities

You are responsible for all taxes associated with your earnings on the platform. This includes but is not limited to:

  • • Income taxes
  • • Sales taxes (where applicable)
  • • VAT (where applicable)
  • • Any other applicable taxes

The platform does not withhold taxes from your payments. You should consult with a tax professional regarding your obligations.

10. Limitation of Liability

The platform is provided "as is" without warranties of any kind. We are not liable for:

  • • Lost revenue or sales
  • • Technical issues or downtime
  • • Blockchain network issues
  • • Customer disputes
  • • Third-party actions

11. Termination

11.1 Voluntary Termination

You may terminate your seller account at any time by contacting support. Upon termination:

  • • Your products will be delisted
  • • You will receive any outstanding payments (above minimum threshold)
  • • You must continue to support existing customers for a reasonable period

11.2 Platform Termination

We may terminate your account with 30 days notice. In cases of serious violations, termination may be immediate. Any earned funds above the minimum threshold will be paid out.

12. Changes to This Agreement

We may update this agreement from time to time. Material changes will be communicated via email. Continued use of the platform after changes constitutes acceptance of the modified agreement. The current version is always available at this URL with the last updated date at the top.

13. Governing Law & Disputes

This agreement is governed by the laws of the jurisdiction where the platform is registered. Any disputes will be resolved through binding arbitration in accordance with the rules of the arbitration association in that jurisdiction.

Agreement Acknowledgment
