We reserve the right to suspend or terminate your account at any time, with or without notice, for violation of these Terms, fraudulent activity, or any reason we deem appropriate. You may also close your account at any time by contacting support@web3.market.

3. Marketplace and Transactions

3.1 Platform Role

Web3.Market operates as a marketplace platform connecting buyers and sellers of Web3 products, including smart contracts, dApps, scripts, and blockchain tools. We are not a party to transactions between buyers and sellers, and we do not take ownership of listed products.

3.2 Purchases and Payments

When making a purchase:

• All prices are displayed in USD and payable in supported cryptocurrencies (USDT, USDC, etc.)
• Prices are subject to change without notice until purchase is completed
• Payment transactions are processed through blockchain networks and are irreversible
• You are responsible for all transaction fees, gas fees, and network costs
• We do not store your payment information; transactions are handled by your Web3 wallet
• Upon successful payment, you receive a license to use the purchased product as specified

3.3 Seller Responsibilities

If you register as a seller, you agree to:

• Provide accurate and complete product information and descriptions
• Own or have the legal right to sell all listed products
• Ensure products are free from malware, viruses, and malicious code
• Deliver products promptly after purchase confirmation
• Provide reasonable customer support for your products
• Comply with all applicable laws and regulations
• Not engage in fraudulent, deceptive, or misleading practices
• Pay applicable platform fees and commissions

3.4 Product Review Process

We conduct standard code reviews for quality and basic security checks on listed products. However, we do not guarantee zero vulnerabilities, complete functionality, or suitability for specific use cases. We strongly recommend conducting professional security audits before production deployment. Users are responsible for conducting their own due diligence before making purchases.

4. Intellectual Property Rights

4.1 Platform Content

All content on Web3.Market, including but not limited to text, graphics, logos, images, software, and design elements, is owned by or licensed to Web3.Market and protected by intellectual property laws. You may not copy, modify, distribute, or create derivative works without our express written permission.

4.2 User Content

By submitting content to our platform (reviews, listings, comments, etc.), you grant Web3.Market a worldwide, non-exclusive, royalty-free, perpetual license to use, reproduce, modify, adapt, publish, and display such content for operating and promoting our Services.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, WEB3.MARKET AND ITS AFFILIATES, DIRECTORS, OFFICERS, EMPLOYEES, AGENTS, AND LICENSORS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM:

• Your access to or use of (or inability to access or use) our Services
• Any conduct or content of third parties on the platform
• Unauthorized access, use, or alteration of your data
• Transactions between buyers and sellers
• Products purchased or sold through the platform
• Bugs, viruses, or harmful code transmitted through our Services

OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING FROM OR RELATED TO THESE TERMS OR OUR SERVICES SHALL NOT EXCEED THE AMOUNT YOU PAID TO US IN THE SIX (6) MONTHS PRECEDING THE CLAIM, OR $100 USD, WHICHEVER IS GREATER.

8. Indemnification

You agree to indemnify, defend, and hold harmless Web3.Market and its affiliates, directors, officers, employees, agents, and licensors from and against any claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising from or related to:

• Your use of or access to our Services
• Your violation of these Terms
• Your violation of any rights of third parties
• Products you sell or purchase through the platform
• Your content or conduct on the platform

9. Dispute Resolution

9.2 Binding Arbitration

Any dispute, controversy, or claim arising out of or relating to these Terms or our Services that cannot be resolved informally shall be settled by binding arbitration in accordance with the rules of the American Arbitration Association (AAA). The arbitration shall take place in Delaware, USA, and shall be conducted in English.

9.3 Class Action Waiver

You agree that any dispute resolution proceedings will be conducted only on an individual basis and not in a class, consolidated, or representative action. You waive your right to participate in a class action lawsuit or class-wide arbitration.

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, USA, without regard to its conflict of law provisions.

We reserve the right to modify these Terms at any time. We will notify users of material changes by posting the updated Terms on our website and updating the "Last Updated" date. Your continued use of our Services after changes are made constitutes acceptance of the updated Terms.
